มิตช์ แม็คเดียร์ (Tom Cruise) คือนักศึกษากฎหมายฮาร์วาร์ดที่ทำคะแนนได้อย่างโดดเด่ น จนเขาได้รับการทาบทามจากบริษัทกฎหมายชื่อดังอย่าง เบนดินี่ แลมเบิร์ต แอนด์ ล็อก (Bendini, Lambert & Locke) ด้วยข้อเสนอที่ยากจะปฏิเสธ คือเพียงเขาเซ็นต์สัญญาเข้าทำงาน ทั้งเงินทอง บ้าน รถ และลาภยศจะมาสู่ชีวิตเขาทันที

และมิตช์ก็เซ็นต์สัญญา พร้อมพาภรรยา (Jeanne Tripplehorn) ย้ายมาอยู่เมืองเมมฟิส (ที่ซึ่งบริษัทตั้งอยู่) แล้วการทำงานก็เริ่มต้น เขาได้รับการดูแลจากเอเวอรี่ โทลาร์ (Gene Hackman) พี่เลี้ยงมือโปรที่สอนกลเม็ดในการเป็นทนายให้กับเขา เรียกว่าทุกอย่างดูไปได้สวยมากๆ อนาคตของเขาจะต้องไปได้ไกลแน่ๆ
